Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", the "business owner") and Sadbhagyai ("we", "us", the "Company") governing your access to and use of the Sadbhagyai / AI Review Assistant product (the "Service"). By creating an account, signing in, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

The Service is an AI writing assistant that helps a business's genuine customers turn their real experience into natural-sounding review text. It is not a review-posting bot, does not post anything to Google or any other platform on anyone's behalf, and does not guarantee any specific rating, review volume, or search-ranking outcome.

You must be at least 18 years old and legally authorized to act on behalf of the business you register to use the Service. Access is via Google Sign-In; you are responsible for maintaining the security of that Google account and for all activity that occurs under your Sadbhagyai account. Notify us immediately of any unauthorized use.

You may only use the Service to collect feedback from your own genuine customers about their own real experience. You may not: fabricate, incentivize, or pay for specific ratings or review content beyond what a customer genuinely provides; use the Service to review your own business, an affiliated business, or a competitor; attempt to circumvent, automate, or bulk-generate reviews outside the normal one-customer-at-a-time flow; resell, sublicense, or provide the Service to third parties without our written consent; or otherwise violate Google's review policies or any applicable law. We may suspend or terminate any account we reasonably believe is being used this way, without refund (see Section 8).

The Service never submits reviews to Google, or anywhere else, automatically. The customer is always shown the AI-generated draft, can edit it, and must manually copy and post it themselves — this is a fixed design constraint of the product, not a configurable setting. We do not control, and are not responsible for, the final text a customer chooses to post, any edits they make to it, or Google's handling of that review (including removal, flagging, or ranking).

Paid plans are billed in advance for the billing period stated at checkout (e.g. monthly, annually, or a one-time lifetime fee). Each plan includes a monthly AI-generation limit enforced automatically; limits reset each billing period and unused generations do not roll over unless explicitly stated in writing. Where a plan auto-renews, it will continue to renew at the then-current price at the end of each period until you cancel; we will make reasonable efforts to notify you of any price change in advance. You are responsible for all applicable taxes.

All payments made for the Service — including subscription fees, lifetime/one-time fees, upgrades, and add-ons — are final and strictly non-refundable, in full or in part, under any circumstances.

This includes, without limitation, no refund for:

• unused AI-generation quota or an unused portion of any billing period;
• voluntary cancellation or downgrade at any point during a billing period;
• dissatisfaction with, or a change of mind about, the Service;
• account suspension or termination resulting from your breach of these Terms; or
• any outcome (or lack of outcome) related to reviews, ratings, or business results.

By making any payment for the Service, you expressly acknowledge and accept this no-refund policy. This section survives cancellation or termination of your account.

You may cancel a paid plan at any time from your dashboard; cancellation stops future renewal but does not entitle you to a refund for the current period (see Section 7), and access continues until the end of the period already paid for. We may suspend or terminate your account, with or without notice, for breach of these Terms, non-payment, suspected fraud or misuse, or if required by law — again without any refund of amounts already paid.

The Service relies on and links to third-party platforms we do not control or operate, including Google (Sign-In, review submission, Places/Maps data), Google's Gemini API for AI text generation, Razorpay for payment processing, and, where a business enables them, Instagram, Facebook, and WhatsApp. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy, changes, or actions (including account suspension by any of them).

The Service, including its software, design, branding, and underlying technology, is owned by Sadbhagyai and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business's review collection during your subscription — nothing else. You retain ownership of your own business content (name, logo, address, and similar details) that you upload; you grant us a license to use it solely to operate the Service for you (e.g. generating your QR code and review page).

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or usefulness of any AI-generated text, or any result (ratings, review volume, business outcomes) from using the Service.

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you actually paid us in the 3 months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless the Company, its owners, and personnel from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party right (including Google's review policies), or content submitted through your business's review page.

We may modify, suspend, or discontinue any part of the Service, and may update these Terms, at any time. Material changes to these Terms will be posted on this page with an updated "Last updated" date; continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts of Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

In accordance with applicable Indian law, for any complaints or concerns regarding the Service, you may contact our grievance officer at support@sadbhagyai.com.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements on the same subject.
